Terms of Service
Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Anthesis IG, Inc., a Delaware corporation ("Company," "we," "us," or "our"), governing your access to and use of the Circle mobile application, website, and related services (collectively, the "Service" or "Circle").
By creating an account, accessing, or using Circle, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use Circle.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email to your registered college email address or through the Service. Your continued use of Circle after such modifications constitutes your acceptance of the updated Terms.
1. Eligibility
1.1 Age Requirement
You must be at least eighteen (18) years of age to create an account and use Circle. By using Circle, you represent and warrant that you are at least 18 years old. Circle is not intended for individuals under 18, and we do not knowingly collect information from minors. If we learn that a user is under 18, we will terminate their account immediately.
1.2 College Enrollment Requirement
Circle is exclusively available to currently enrolled students at supported colleges and universities. To use Circle, you must:
- Be currently enrolled as a student at a supported institution;
- Possess a valid college email address (ending in
.edu) from a supported institution; - Successfully verify your college email address through our verification process.
1.3 Supported Institutions
Circle is currently available to students at the following institutions:
- Harvard College (
@college.harvard.edu)
We may expand to additional institutions in the future. The list of supported institutions is determined solely by us and may be updated at any time.
Circle is not affiliated with, endorsed by, or sponsored by any college, university, or educational institution. The use of college email verification is solely to confirm student status and does not imply any official relationship with these institutions.
1.4 One Account Per Person
You may only create and maintain one (1) Circle account. Creating multiple accounts, using another person's college email, or circumventing our verification process is strictly prohibited and grounds for immediate termination.
1.5 Geographic Availability
Circle is currently available only in the United States. By using Circle, you represent that you are located in the United States or are a student at a supported U.S. institution.
1.6 Representations and Warranties
By creating an account, you represent and warrant that:
- All information you provide is accurate, current, and complete;
- You will maintain the accuracy of such information;
- You have the legal capacity to enter into these Terms;
- You are not prohibited from using the Service under any applicable law;
- You have not been previously banned or removed from Circle;
- You will not use the Service for any illegal or unauthorized purpose.
2. Account Registration and Security
2.1 Account Creation
To use Circle, you must create an account by:
- Providing a valid email address and creating login credentials, or authenticating through a supported third-party provider (e.g., Google);
- Verifying your college email address through our one-time password (OTP) verification process;
- Completing your profile with required information (name, graduation year).
2.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials;
- All activities that occur under your account;
- Notifying us immediately of any unauthorized access or security breach at support@oncircle.app.
We are not liable for any loss or damage arising from your failure to protect your account credentials.
2.3 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. Providing false or misleading information is grounds for immediate termination.
3. The Service
3.1 Description of Service
Circle is a college-exclusive social platform that facilitates connections between verified college students through:
- Question-Based Matching: Users respond to questions, and our algorithm suggests potential matches based on compatibility;
- Direct Messaging: Matched users can communicate through private chat;
- Outings: Users can create and join group activities with other verified students;
- Crush Feature: Users can anonymously submit potential romantic interests (feature availability may vary).
3.2 No Guarantee of Results
Circle does not guarantee that you will receive matches, make connections, find romantic partners, or achieve any particular outcome. The Service is provided for social and entertainment purposes. Compatibility scores and match suggestions are generated algorithmically and do not guarantee compatibility, safety, or any particular outcome.
3.3 Service Availability
We strive to maintain Service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled or emergency maintenance;
- Technical failures or issues beyond our control;
- Force majeure events;
- Required updates or modifications.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice or liability.
4. User Conduct
4.1 Acceptable Use
You agree to use Circle only for lawful purposes and in accordance with these Terms. You are solely responsible for your conduct and any content you submit, post, or display on or through the Service.
4.2 Prohibited Conduct
You agree NOT to:
Identity and Account Violations
- Create an account using another person's identity or college email;
- Impersonate any person or entity;
- Provide false, misleading, or inaccurate profile information;
- Use fake or manipulated photographs;
- Create multiple accounts;
- Share your account or login credentials with others;
- Access another user's account without authorization.
Harmful Behavior
- Harass, abuse, threaten, stalk, or intimidate other users;
- Engage in bullying, hate speech, or discriminatory conduct;
- Send unsolicited or inappropriate sexual content;
- Engage in any form of sexual harassment or misconduct;
- Solicit personal information from other users for malicious purposes;
- "Dox" or share another user's personal information without consent;
- Engage in catfishing or romantic/financial scams.
Platform Abuse
- Use the Service for any commercial purpose without authorization;
- Advertise, solicit, or promote products or services;
- Recruit users for organizations, events, or activities unrelated to Circle;
- Send spam, chain letters, or unsolicited communications;
- Use automated systems, bots, or scripts to access the Service;
- Attempt to circumvent security measures or access restricted areas;
- Interfere with or disrupt the Service or servers;
- Reverse engineer, decompile, or disassemble any part of the Service;
- Scrape, harvest, or collect user data;
- Transmit viruses, malware, or other harmful code.
Outing-Specific Violations
- Create fake or misleading outings;
- Use outings for commercial purposes, recruitment, or solicitation;
- Create outings with discriminatory intent beyond permitted filters;
- Misuse blocking features to discriminate against protected classes;
- Harass or stalk users through outing participation;
- Share outing locations or participant information with non-members.
Legal Violations
- Violate any applicable local, state, national, or international law;
- Engage in any activity that could expose the Company to civil or criminal liability;
- Facilitate or encourage any of the above prohibited activities.
4.3 Reporting Violations
If you encounter conduct that violates these Terms, please report it immediately through the in-app reporting feature or by contacting us at support@oncircle.app. We take all reports seriously and will investigate promptly.
4.4 Enforcement
We reserve the right, but are not obligated, to:
- Monitor the Service for violations of these Terms;
- Investigate suspected violations;
- Remove or disable access to any content that violates these Terms;
- Suspend or terminate accounts for violations;
- Report illegal activity to law enforcement;
- Take any other action we deem necessary to protect the Service and our users.
5. User Content
5.1 Your Content
"User Content" means any content you submit, post, display, or transmit through the Service, including but not limited to:
- Profile information (name, photos, graduation year, etc.);
- Question responses;
- Chat messages;
- Outing descriptions and details;
- Proposed questions;
- Any other content you provide.
5.2 Ownership
You retain ownership of your User Content. However, by submitting User Content, you grant us the licenses described in Section 5.3.
5.3 License Grant
By submitting User Content, you grant Anthesis IG, Inc. a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with:
- Operating and providing the Service;
- Displaying your profile to other users;
- Facilitating matches and connections;
- Showing your messages to intended recipients;
- Displaying your participation in outings to other members;
- Improving and developing the Service;
- Any other purpose related to the Service.
This license continues until you delete your User Content or account, except that:
- Content shared with other users (messages, outing chats) may persist in their view;
- Aggregated or anonymized data derived from your content may be retained;
- Backup copies may persist for a reasonable period.
5.4 Proposed Questions
If you submit a proposed question through the Service:
- You grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate the question into the Service;
- You represent that the question is your original work and does not infringe any third-party rights;
- We are under no obligation to use, credit, or compensate you for proposed questions.
5.5 Content Standards
You represent and warrant that your User Content:
- Is accurate and not misleading;
- Does not infringe any third-party intellectual property rights;
- Does not violate any person's privacy or publicity rights;
- Does not contain illegal content;
- Does not contain viruses or harmful code;
- Complies with all applicable laws and these Terms.
5.6 No Obligation to Monitor
We are not obligated to monitor, review, or edit User Content. However, we reserve the right to remove any User Content that violates these Terms or that we find objectionable for any reason, without notice.
6. Outings
6.1 Overview
Circle allows users to create and participate in group activities ("Outings"). Outings are user-created events and are not organized, endorsed, or supervised by the Company.
6.2 Creating Outings
When creating an Outing, you agree to:
- Provide accurate information about the activity, location, date, and time;
- Not create fake, misleading, or spam Outings;
- Not use Outings for commercial purposes, recruitment, or solicitation;
- Comply with all applicable laws regarding gatherings and events;
- Take responsibility for the Outings you create.
6.3 Participating in Outings
When joining an Outing, you understand and agree that:
- You participate at your own risk;
- The Company does not verify the accuracy of Outing details;
- The Company does not supervise, chaperone, or monitor Outings;
- The Company is not responsible for the conduct of Outing creators or participants;
- You are responsible for your own safety and well-being;
- Meeting strangers in person carries inherent risks.
6.4 Outing Filters
Outing creators may set participation filters based on:
- Gender;
- Graduation year;
- Age (if birthdate is provided).
These filters are user-set preferences and do not constitute endorsement or discrimination by the Company. Users who set discriminatory filters may be subject to account action.
6.5 Anonymity in Outings
Circle implements a two-tier anonymity system for Outings:
- Non-members can view and chat in open Outings but appear anonymously (labeled "OP," "#1," "#2," etc.);
- Members (users who have joined) can see each other's real identities.
By joining an Outing, you consent to revealing your identity (name, profile picture) to other Outing members.
6.6 Safety Features
Circle provides safety features including:
- "Notify a Friend": Send Outing details to a friend's email;
- Reporting: Report problematic Outings or users;
- Blocking: Block specific users from your Outings.
These features do not guarantee your safety. You are solely responsible for taking appropriate precautions when meeting other users in person.
6.7 Safety Recommendations
We strongly recommend that you:
- Meet in public places for initial meetings;
- Inform a friend or family member of your plans;
- Use the "Notify a Friend" feature;
- Arrange your own transportation;
- Trust your instincts—leave if you feel uncomfortable;
- Do not share sensitive personal information (home address, financial information, etc.);
- Report any concerning behavior immediately.
7. Matching and Connections
7.1 Matching Algorithm
Circle uses a proprietary algorithm to suggest potential matches based on:
- Your question responses;
- Your stated preferences;
- Compatibility factors determined by our system.
7.2 No Guarantees
We do not guarantee:
- That you will receive any matches;
- The accuracy of compatibility scores;
- That matches will result in successful connections;
- The accuracy of information provided by other users;
- The identity, background, or intentions of other users.
7.3 User Verification Limitations
While we verify that users possess valid college email addresses, we do not:
- Verify users' true identities;
- Conduct background checks;
- Verify users' photographs or profile information;
- Screen for criminal history;
- Monitor user behavior outside the platform.
You acknowledge that interacting with other users, both online and in person, carries inherent risks, and you assume those risks.
8. Anonymous Crush Feature
8.1 Overview
Circle may offer an anonymous crush submission feature that allows you to submit the email address of a potential romantic interest. If the submitted person is also a Circle user and has submitted your email, a "mutual crush" may be revealed.
8.2 Terms of Use
By using the crush feature, you agree:
- To only submit email addresses of individuals who you reasonably believe would welcome such submission;
- Not to use the feature to harass, stalk, or intimidate anyone;
- That unmatched crush submissions are stored temporarily and deleted after 6 months;
- That mutual crushes will result in both parties being notified.
8.3 No Harassment
Using the crush feature to harass, stalk, or repeatedly contact someone who has not expressed interest is prohibited and may result in account termination.
9. Intellectual Property
9.1 Company Intellectual Property
The Service and its original content, features, and functionality are owned by Anthesis IG, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
"Circle," the Circle logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Anthesis IG, Inc. You may not use such marks without our prior written permission.
9.2 Restrictions
You may not:
- Copy, modify, or distribute any part of the Service;
- Use the Service's name, logo, or branding without permission;
- Remove any copyright or proprietary notices;
- Create derivative works based on the Service;
- Reverse engineer or attempt to extract the source code;
- Use any data mining, robots, or similar data gathering methods.
9.3 Feedback
If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use such Feedback for any purpose without compensation or attribution.
9.4 Copyright Complaints (DMCA)
We respect the intellectual property rights of others. If you believe that any content on Circle infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing our Copyright Agent with the following information in writing:
- A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright interest;
- A description of the copyrighted work that you claim has been infringed;
- A description of where the allegedly infringing material is located on the Service (with enough detail to allow us to find it);
- Your address, telephone number, and email address;
- A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
- A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Counter-Notification: If you believe your content was removed by mistake or misidentification, you may submit a counter-notification with:
- Your physical or electronic signature;
- Identification of the material that was removed and the location where it appeared before removal;
- A statement under penalty of perjury that you have a good faith belief the material was removed by mistake or misidentification;
- Your name, address, telephone number, and a statement consenting to the jurisdiction of the federal courts in Delaware and that you will accept service of process from the complainant.
Repeat Infringer Policy: We will terminate the accounts of users who are repeat infringers in appropriate circumstances.
9.5 AI and Data Mining Prohibition
You may not, and may not permit any third party to:
- Use any automated system, including but not limited to "robots," "spiders," "scrapers," or "offline readers," to access the Service;
- Collect, harvest, or scrape any content or data from the Service;
- Use the Service or any content from the Service to train, develop, or improve any artificial intelligence, machine learning model, or similar technology;
- Create datasets or databases using content or data from the Service;
- Reproduce, redistribute, or make available any content from the Service for purposes of training AI systems;
- Use generative AI tools to create fake profiles, content, or interactions on the Service.
This prohibition applies regardless of whether such activities are for commercial or non-commercial purposes.
10. Third-Party Services
10.1 Third-Party Integrations
The Service integrates with third-party services including:
- Google (OAuth sign-in);
- Authentication providers;
- Cloud infrastructure and database providers;
- Analytics providers;
- Email service providers.
Your use of these services is subject to their respective terms and privacy policies.
10.2 Third-Party Links
The Service may contain links to third-party websites or resources. We are not responsible for:
- The availability or accuracy of such resources;
- The content, products, or services offered by third parties;
- Any damage or loss caused by your use of third-party resources.
10.3 App Stores
The Service may be distributed through third-party app stores (Apple App Store, Google Play Store). Your use is subject to their terms in addition to these Terms.
11. Privacy
Your privacy is important to us. Our collection, use, and sharing of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Circle, you consent to our data practices as described in the Privacy Policy.
12. Account Termination
12.1 Termination by You
You may delete your account at any time through the profile settings in the app. Upon deletion:
- Your profile will no longer be visible to other users;
- Your profile picture will be deleted from our storage;
- Your user record will be removed from our database;
- Your matches will see "Deleted User" in place of your name;
- Certain data may be retained as described in our Privacy Policy.
12.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:
- Violation of these Terms;
- Conduct harmful to other users, us, or third parties;
- Fraudulent or illegal activity;
- Extended periods of inactivity;
- Requests by law enforcement or government agencies;
- Technical or security issues;
- Our decision to discontinue the Service.
12.3 Effect of Termination
Upon termination:
- Your right to use the Service immediately ceases;
- We may delete your account and data (subject to our Privacy Policy);
- Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Disclaimers
13.1 "As Is" and "As Available"
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
13.2 No Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS;
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
- WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE;
- WARRANTIES THAT DEFECTS WILL BE CORRECTED.
13.3 User Interactions
WE DO NOT:
- SCREEN USERS FOR CRIMINAL BACKGROUND;
- VERIFY THE ACCURACY OF USER PROFILES;
- VERIFY USER IDENTITIES BEYOND EMAIL VERIFICATION;
- MONITOR OR SUPERVISE USER INTERACTIONS;
- GUARANTEE THE SAFETY OF IN-PERSON MEETINGS.
YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. YOU UNDERSTAND THAT WE DO NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON USERS OR OTHERWISE INQUIRE INTO THE BACKGROUND OF USERS. WE MAKE NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT, IDENTITY, INTENTIONS, LEGITIMACY, OR VERACITY OF USERS.
13.4 Assumption of Risk
YOU ASSUME ALL RISK WHEN USING THE SERVICE, INCLUDING BUT NOT LIMITED TO ALL RISKS ASSOCIATED WITH ANY ONLINE OR OFFLINE INTERACTIONS WITH OTHER USERS. YOU AGREE TO TAKE ALL NECESSARY PRECAUTIONS WHEN MEETING OTHER USERS IN PERSON.
14. Limitation of Liability
14.1 Exclusion of Damages
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ANTHESIS IG, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
- ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES;
- DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE;
- DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
- DAMAGES RESULTING FROM ANY USER CONTENT;
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR TRANSMISSIONS;
- DAMAGES RESULTING FROM YOUR INTERACTIONS WITH OTHER USERS, WHETHER ONLINE OR OFFLINE;
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
14.2 Cap on Liability
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF:
- ONE HUNDRED U.S. DOLLARS ($100.00); OR
- THE AMOUNTS PAID BY YOU TO US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14.3 Jurisdictional Limitations
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
15. Indemnification
You agree to indemnify, defend, and hold harmless Anthesis IG, Inc. and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service;
- Your violation of these Terms;
- Your violation of any third-party rights, including intellectual property, privacy, or publicity rights;
- Your User Content;
- Your interactions with other users, whether online or offline;
- Any claim that your conduct caused damage to a third party.
This indemnification obligation will survive the termination of your account and these Terms.
16. Dispute Resolution
16.1 Informal Resolution
Before filing any legal claim, you agree to first contact us at legal@oncircle.app and attempt to resolve the dispute informally for at least thirty (30) days. Most disputes can be resolved this way.
16.2 Binding Arbitration
If we cannot resolve a dispute informally, you and we agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except as set forth in Section 16.5.
Arbitration Provider and Rules
Arbitration shall be conducted by JAMS under its Streamlined Arbitration Rules and Procedures (for claims under $250,000) or Comprehensive Arbitration Rules and Procedures (for claims of $250,000 or more), as applicable at the time the arbitration is commenced.
How to Commence Arbitration
To begin an arbitration proceeding, you must send a written Demand for Arbitration to:

Your Demand must include: (1) your name, address, and email address; (2) a description of your claim; (3) the specific relief you seek; and (4) your signature.
Hearing Location
The arbitration shall take place in Wilmington, Delaware, unless you and we agree otherwise. At your request, the arbitration may be conducted entirely by telephone, video conference, or based on written submissions only (without an in-person hearing).
Arbitration Fees
Payment of filing, administration, and arbitrator fees will be governed by JAMS' rules. For claims of $10,000 or less, we will reimburse your filing fee and pay the arbitration costs (except for the arbitrator's fee, which is shared per JAMS rules), unless the arbitrator finds your claim was frivolous.
Arbitrator's Authority
The arbitrator shall have exclusive authority to resolve all disputes, including the scope, enforceability, and arbitrability of this arbitration agreement. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.
Arbitrator's Decision
The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The arbitrator must follow applicable law and will have no authority to award punitive or exemplary damages except where permitted by statute.
Batch Arbitration
If 25 or more similar arbitration demands are filed against us within a 60-day period, they will be batched and resolved in staged proceedings as determined by JAMS, with representative claimants selected for initial resolution.
16.3 Class Action Waiver
YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
Unless both you and we agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
16.4 Jury Trial Waiver
IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND WE EACH WAIVE ANY RIGHT TO A JURY TRIAL.
16.5 Exceptions
Notwithstanding the above:
- Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights;
- Claims within the jurisdiction of small claims court may be brought there;
- This arbitration agreement does not preclude you from bringing issues to the attention of federal, state, or local agencies that may seek relief on your behalf.
16.6 Opt-Out
You may opt out of this arbitration agreement by sending written notice to legal@oncircle.app within thirty (30) days of first accepting these Terms. Your notice must include your name, address, email address, and a clear statement that you wish to opt out of arbitration.
17. Governing Law
These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
For any claims not subject to arbitration, you and we consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy and any other legal notices or policies published by us on the Service, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
18.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in full force and effect.
18.3 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by us.
18.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
18.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights, except that our affiliates are third-party beneficiaries of these Terms.
18.6 Headings
The section headings in these Terms are for convenience only and have no legal or contractual effect.
18.7 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

We may provide notices to you through the Service, by email to your registered email address, or by other means. You may provide notices to us at the address below.
18.9 California Residents
If you are a California resident, in accordance with Cal. Civ. Code § 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
